Financial Advisory
We advise medium-sized companies, corporations and financial investors on all aspects of an M&A transaction.
Overview
Corporate transactions require precise financial analysis and a review of existing financing structures.
All stakeholders, including financing partners, sellers as well as buyers expect full transparency in order to reach well-founded decisions in complex processes. NK Corporate Finance provides comprehensive analyses as a basis for informed decision-making.
Due diligence
A due diligence investigation is a systematic review of all material aspects affecting the outcome of an M&A transaction. In order to minimise potential information asymmetries that exist between buyer and seller, all risks and opportunities pertaining to a transaction need to be evaluated with due care.
Market analysis
A key prerequisite to concluding a successful M&A transaction is developing a thorough understanding of the market the target company is operating in. Therefore, a 360 degree analysis of the company’s market or the preparation of a commercial due diligence report may be called for. In addition to collecting quantitative data (such as relating to market volume and growth), the focus of this analysis should also be on qualitative factors such as customer requirements and satisfaction, the competitive environment as well as key market drivers and trends.
Valuation
Determining the value of a company is one of the key analyses to be carried out in an M&A process, playing a pivotal role in negotiations. NK Corporate Finance uses tried and tested valuation methodologies, such as multiples based valuations, discounted cashflow (DCF) analysis as well as asset based valuation methods.
